IMPOSITO End User Licence Agreement

This Agreement is between NODUS ICT SOLUTIONS d.o.o., a limited liability company registered in the Republic of Serbia, registration number 21549053, tax number 111833822, with its registered office at Dvadesetsedmog marta 9, 11050 Belgrade (Zvezdara), Republic of Serbia ("NODUS", "we"), and the person or organisation that purchases a IMPOSITO licence ("you"). IMPOSITO is a product and brand of NODUS ICT SOLUTIONS d.o.o.

   What you are buying. You are buying a perpetual, non-exclusive, non-transferable licence to install and use IMPOSITO 2.x on the number of devices and server nodes covered by your licence tier, for your own or your organisation's purposes. You are buying a right to use the software. You are not buying the software itself, and no ownership passes to you.

   The licence does not expire. There is no subscription term, no renewal and no expiry date. The application does not require an internet connection to function and does not deactivate itself if it cannot reach us. If NODUS ICT SOLUTIONS d.o.o. ceases to trade, your installed copies continue to work exactly as before.

   Ownership. IMPOSITO, its source code, its interface, its icons, its documentation and all related intellectual property are owned exclusively by NODUS ICT SOLUTIONS d.o.o. The application was developed in-house. Third-party open-source components are listed with their licences at imposito.com/docs/licences.

   Your documents. IMPOSITO processes files locally on your device. We do not receive, transmit, store or have any access to the documents you process. We hold no copy of your data, because no copy is ever created outside your machine.

   Devices, server nodes and reactivation. Your licence covers the number of simultaneous device activations and server nodes shown on your invoice and in the comparison table for your tier. You may deactivate a device from within the application and activate a replacement at any time. Reactivation is free and unlimited in number. Replacing your hardware never requires a new licence.

   Tier upgrades. You may move to any higher tier at any time by paying the difference between the price you paid and the current price of the target tier. This right does not expire. Downgrades are not available, because nothing is charged periodically; a tier you no longer need simply goes unused.

   What you may not do. You may not resell, sublicense, rent or distribute the software or your licence key. You may not publish your key. You may not exceed the device or server node count of your tier by any technical means. You may not reverse-engineer, decompile or disassemble the application except to the extent that this restriction is void under applicable law. You may not use the software to process documents you have no lawful right to process.

   Updates. All 2.x releases are provided free of charge for the lifetime of the 2.x line, on every tier. A future major version may be offered as a paid upgrade. Declining a paid upgrade has no effect whatsoever on your existing licence.

   Warranty and liability. The software is provided as described in its documentation and in the comparison table published at imposito.com/compare. Our aggregate liability under this Agreement is limited to the amount you paid for your licence. Nothing here excludes liability that cannot lawfully be excluded.

10. 10

    Governing law. This Agreement is governed by the law of the Republic of Serbia, with the competent court in Belgrade having jurisdiction. Nothing here limits mandatory consumer rights available to you under the law of your country of residence.
